Coach referral agreement

Last updated: 12 November 2026

This agreement is between Iterative Bits SAS, with a share capital of 1 000 €, registered office at 60 rue François 1er, 75008 Paris, registered under RCS Paris 940 573 843, SIRET 940 573 843 00015, intra-community VAT number FR77940573843, contact hello@goodform.coach, publisher of Goodform (“Goodform”), and the coach who accepts it from the “Refer coaches” page (the “referrer”). It completes the terms of sale of Goodform (goodform.coach/terms-of-sale), whose “Referral program” section it details; for referrals, this agreement prevails. It is the written contract required by article 8 of French law no. 2023-451 of 9 June 2023 on commercial influence and decree no. 2025-1137 of 28 November 2025, accepted by every referrer whatever the amounts earned.

  1. 1. The parties

The referrer is a professional resident for tax purposes in a European Union or European Economic Area state. They are identified by the business details of their Goodform account: name or business name, business address, email address of the account, SIRET number and VAT status (Settings → Business), and by the country of tax residence they declare when accepting this agreement. These details head the copy of the agreement emailed to them, and a new copy is sent when they change. The referrer keeps them accurate and up to date; a change of tax residence or VAT status is made in their settings before the next payout.

  2. 2. What the referrer does

The referrer recommends Goodform to other coaches with their personal link, their code or their QR code, in the ways they choose: messages to people they know, posts, videos, newsletters, talks, flyers. They act independently, with no exclusivity, no minimum and no obligation of result, and cannot bind Goodform. Nothing is owed for a recommendation that brings no paying referred coach.

  3. 3. Who is credited to the referrer

A coach is credited to the referrer under the rules of the “Referral program” section of the terms of sale: a coach who has never paid for a Goodform subscription and who, within the attribution period of the rates schedule, signs up with the referrer’s link or enters their code no later than before their first payment to Iterative Bits SAS. One referrer or partner only per coach; a link wins over a typed code. The “Powered by Goodform” mention of the referrer’s page is not a way of referring: a coach who signs up after clicking it is not credited to them and earns them no reward. The credit is fixed when the referred coach completes the plan step.

  4. 4. Remuneration: how it is calculated

    • The referrer receives a share of the amount, VAT excluded, that each referred coach pays Iterative Bits SAS for their Goodform subscription during their first paid months.
    • The share (a percentage), the number of months, the holding period, the referred coach’s welcome offer and the payout threshold are those of the program rates schedule (goodform.coach/terms-of-sale/rates) in force on the date the referred coach is credited, kept for that whole referral; only the payout threshold follows the schedule in force on the day of the payout.
    • The qualifying event is the payment of an invoice of the referred coach, after their trial. For a yearly plan, the share applies to the part of the yearly invoice that matches the schedule’s number of months.
    • Service fees on clients’ payments, VAT, discounts, unpaid periods and refunded amounts never count.
    • A referrer registered for VAT receives the VAT on top, at the applicable rate.
    • The reward is paid in euros. It is the referrer’s only remuneration: no benefit in kind is given.
  5. 5. Holding period, checks and clawback

    • Each reward becomes available at the end of the schedule’s holding period after the referred coach’s payment.
    • A reward for a payment that is refunded, in full or in part, or disputed with the bank is cancelled; if it was already paid out, its amount is withheld from the next payouts.
    • Some rewards are checked before being paid out: when this agreement has not been accepted yet, when the month’s rewards exceed €300, when more than 5 coaches sign up with the link within 7 days, or when the referred coach has no activity at the end of the holding period.
    • No reward is due for a self-referral (the same person, account, email address, phone number, SIREN number, payment card or payout bank account) or for a sign-up obtained by fraud. A reward obtained by fraud is lost, and withheld from the next payouts if it was already paid.
  6. 6. One level only

Only the coaches the referrer refers directly earn a reward. Nothing is ever due on the coaches that referred coaches refer in turn. The referrer may not sub-delegate their link to someone who would be paid for it.

  7. 7. Payout

Available rewards are paid once a month, on day 15 of the month, by Stripe transfer to the referrer’s Stripe payout account (the one where their clients pay them), once their total reaches the payout threshold of the rates schedule. Stripe checks the identity of the account holder. While the account is not connected or cannot receive transfers, the rewards stay due and are paid with a later payout. Goodform pays the Stripe fees of the transfer.

  8. 8. Self-billing mandate

    • The referrer gives Iterative Bits SAS, which accepts, a mandate to issue in their name and on their behalf the invoices for the rewards paid to them under this agreement (article 289, I-2 of the French General Tax Code; articles 242 nonies and 242 nonies A of its annex II).
    • Iterative Bits SAS issues one invoice per payout, marked “Autofacturation”, numbered in a series of its own, with the referrer’s details, the period, the referred coaches and the amounts, and the VAT mention that matches the referrer’s VAT status: “TVA non applicable, art. 293 B du CGI” under the VAT exemption for small businesses; French VAT for a referrer registered for VAT in France; “Autoliquidation” for a referrer established in another European Union state whose VAT number Goodform checks in VIES, Iterative Bits SAS then accounting for the VAT itself. The referrer remains liable for the VAT shown on these invoices and tells Goodform at once of any change of their VAT status.
    • Each invoice is sent by email and available on the “Refer coaches” page. The referrer can contest it there within 15 days of it being sent; without a contest within that time, it is deemed accepted. A mistake is corrected by a corrective invoice issued the same way.
    • The referrer does not issue their own invoice for the same rewards. The mandate lasts as long as this agreement. If the referrer ends it, they send Goodform their own invoices for later payouts.
  9. 9. Status, tax and social obligations

The referrer acts as an independent professional. Rewards are part of the turnover of their business: they declare them and pay the related taxes and contributions. Goodform gives no tax advice (see impots.gouv.fr and urssaf.fr). Iterative Bits SAS reports every year to the French tax authorities the amounts paid to a referrer above the legal threshold (DAS2 return, currently above €2,400 including VAT a year), with the referrer’s identity and address.

  10. 10. Advertising disclosure and communication rules

    • In any public communication about Goodform (social networks, videos, stories, newsletters, websites), the referrer shows clearly and throughout the content that it is advertising, with “Publicité” or “Collaboration commerciale”: for example “Collaboration commerciale avec Goodform – lien de parrainage” (article 5-2 of law no. 2023-451). Messages sent privately to people they know do not need it.
    • The referrer labels images “Images retouchées” or “Images virtuelles” when the law requires it (article 5 of the same law), presents themselves as a Goodform user who is paid for recommending it, and publishes no fake review or testimonial.
    • The referrer never presents coaching as equivalent or preferable to medical care, makes no health claim and promotes no product the law forbids promoting (article 4 of the same law).
    • Forbidden: search ads on the name Goodform or a close spelling; publishing the code on coupon, cashback or deal sites; paid, rewarded or fake sign-ups; self-referral; SMS prospecting; emails other than to professionals, about their profession, with a way to unsubscribe; misleading statements about Goodform, its prices or its offers.
    • At Goodform’s request, the referrer removes or corrects a content within 48 hours, and cooperates with Goodform if an authority (DGCCRF, ARPP) asks about it.
  11. 11. Brand and content

Iterative Bits SAS grants the referrer a free, non-exclusive and non-transferable licence to use the Goodform name and logo, as provided in the share tools of the “Refer coaches” page, only to recommend Goodform and for the duration of this agreement, without changing them and without registering a name, address or account containing them. The referrer keeps the rights on their own content and guarantees that they hold the rights on what it contains (images, music, people).

  12. 12. Personal data

Each party answers for the personal data it uses for its own purposes. On the “Refer coaches” page the referrer sees the name of the coaches credited to them, the status of their subscription and the rewards; they use this only to follow their referrals. Goodform processes the referrer’s data as described in its privacy policy (goodform.coach/privacy). The referrer places no cookie or tracker on behalf of Goodform and sends invitations only to people they may contact.

  13. 13. Joint liability and indemnity

As article 8 III of law no. 2023-451 provides, Iterative Bits SAS and the referrer are jointly and severally liable for the damage caused to third parties in carrying out this agreement. Between them, the referrer bears and indemnifies Iterative Bits SAS for the consequences of their own breach of this agreement or of the law (missing disclosure, forbidden claim, infringed rights), including reasonable defence costs, to the extent the law allows. Apart from fraud or gross negligence, the liability of Iterative Bits SAS towards the referrer is limited to the rewards due to them over the previous 12 months.

  14. 14. Duration, suspension and termination

The agreement starts when the referrer accepts it and lasts as long as their Goodform account is open. The referrer can stop referring at any time. Iterative Bits SAS can suspend the referral program for a referrer, or end this agreement, by email with its reasons, at once for a serious breach (fraud, missing disclosure, forbidden content) and otherwise with 15 days’ notice. Rewards earned before the end stay due under this agreement, except those obtained by fraud.

  15. 15. Changes

The numbers change through a new version of the program rates schedule, published and announced by notification and email at least 15 days before it takes effect; it applies only to coaches credited from that date. The text of this agreement changes with a new version announced at least 15 days ahead; the referrer accepts it before their link is shown again, and can end the agreement instead.

  16. 16. Applicable law and disputes

This agreement is governed by French law, including the French Consumer Code, the French Public Health Code and law no. 2023-451, since the activity targets a French audience. Contact hello@goodform.coach first. If no agreement is found, disputes between professionals go before the commercial court of Paris; a referrer covered by article L221-3 of the French Consumer Code keeps the rights the terms of sale describe.

  17. 17. Acceptance and proof

The referrer accepts this agreement electronically, by ticking the box and confirming on the “Refer coaches” page. Goodform records the acceptance (the account, the date and time, the version of the text and the country of tax residence declared) and emails a PDF copy; the text of each version stays available word for word in the legal archive of goodform.coach. This electronic acceptance is a writing within the meaning of article 1366 of the French Civil Code. The French text prevails.
